1. Scope
These Terms of Service govern all agreements between Daniela Rost, Kampenwandstr. 11, 83530 Schnaitsee, Germany (hereinafter "Provider") and the Customer regarding the use of the Software-as-a-Service product "Xlaypand" — a plugin for Adobe Photoshop (UXP).
Any deviating terms proposed by the Customer shall not apply unless the Provider has expressly agreed to them in writing.
2. Subject Matter
The Provider grants the Customer access to the UXP plugin "Xlaypand" as a SaaS subscription. The plugin extends Adobe Photoshop with automated layout expansion and batch processing capabilities.
The available features depend on the subscription tier selected (Solo Pro, Studio, or Agency).
3. Pricing and Payment
Current pricing is available on the website at xlaypand.com. All prices include applicable statutory taxes where required.
Payment processing is handled by Paddle.com Market Limited as the Merchant of Record. Paddle accepts common payment methods (credit card, PayPal, etc.) and issues invoices in its own name.
The Provider does not have access to the Customer's payment data.
4. License and Usage
An active subscription grants the Customer a non-exclusive, non-transferable license to use the plugin in accordance with the selected tier.
- Solo Pro: up to 2 devices
- Studio: up to 4 devices
- Agency: up to 10 devices
The plugin may not be decompiled, redistributed, or used to create competing products.
5. Term and Cancellation
Subscriptions are billed monthly and renew automatically unless cancelled before the end of the current billing period.
Cancellation is possible at any time, effective at the end of the current billing cycle — via the Paddle customer portal or by email to support@xlaypand.com.
After cancellation, access remains active until the end of the paid period.
6. Availability and Warranty
The Provider strives for high service availability but cannot guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.
The plugin is provided "as is." Compatibility with future versions of Adobe Photoshop cannot be guaranteed.
7. Liability
The Provider's liability is limited to cases of intent and gross negligence. In cases of slight negligence, the Provider is only liable for breaches of material contractual obligations (cardinal obligations), limited to foreseeable, contract-typical damages.
Liability for damages to the Customer's files, projects, or designs arising from the use of the plugin is excluded to the extent permitted by law.
8. Final Provisions
These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
The place of jurisdiction, to the extent legally permissible, is Traunstein (the competent court for Schnaitsee), Germany.
Should any provision of these Terms be or become invalid, the validity of the remaining provisions shall not be affected.
